Terms of Service

These Terms of Service ("Terms") govern your access to and use of Timpi Search, Timpi Ads, the Timpi Data API, MASQ Browser, the Timpi corporate website at timpi.io, and other services provided by Timpi International Ltd ("Timpi," "we," "us," or "our") (collectively, the "Services").

By accessing or using any of the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

Some Services have additional terms (Advertiser Terms for Timpi Ads, Data API Terms for the Timpi Data API). Where additional terms apply, they form part of your agreement and apply alongside these Terms. If there is a conflict, the product-specific terms govern for that product only.

Public Beta and Known Limitations (Timpi Search)

Timpi Search is provided in a Public Beta state and has known limitations including content filtering, index coverage, regional availability, and search functionality. These limitations are expected during the beta period.

The Public Beta caveat applies to Timpi Search only. Timpi Ads, the Timpi Data API, and MASQ Browser are provided as live commercial services.

Eligibility and Access

Age Requirement

You must be at least 16 years old to use the Services. By using the Services, you represent that you meet this requirement, or that you have the consent of a parent or guardian where required by your jurisdiction. Some jurisdictions set a higher age threshold. Where local law sets a higher threshold, it applies.

Account Registration

Account registration is available for Timpi Search users (Web2 and Web3), Timpi Ads advertisers, and Timpi Data API customers. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Safeguard your account credentials and, where applicable, API keys
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised use

Service Modifications

We reserve the right to modify, suspend, or discontinue the Services at any time. For Timpi Search in Public Beta, features may change, be removed, or be added at any time.

Acceptable Use

By using our Services, you agree not to:

• Use the Services in any way that violates applicable law
• Use the Services for any illegal or unauthorised purpose
• Interfere with, compromise system integrity or security, or decipher transmissions
• Access the Services using automated means not expressly authorised by these Terms or a separate written agreement. This includes spiders, robots, crawlers, scrapers, or data mining tools against any Timpi user-facing Service. Authorised programmatic access is provided through the Timpi Data API; use of the Data API is governed by the additional terms applicable to your subscription.
• Decompile, reverse engineer, or attempt to obtain source code
• Take action that imposes an unreasonable load on our infrastructure
• Send unsolicited communications outside of authorised Timpi Ads use
• Impersonate another person or misrepresent affiliation
• Bypass measures used to prevent or restrict access
• Search for, access, distribute, or facilitate child sexual abuse material (CSAM)

Content Filtering and Safe Search

Timpi provides content filtering on a best-effort basis. We do not warrant that filtering will prevent all offensive, illegal, or inappropriate content from appearing in search results. Users are responsible for their own use and for ensuring the Services are appropriate for their context and audience.

Wilson AI — Automated Responses

The Services include Wilson AI, an automated assistant that generates responses based on search index data and large language model technology. By using Wilson AI you acknowledge:

• Wilson AI responses are generated automatically and may contain errors, omissions, or outdated information
• Wilson AI is not a qualified professional. Nothing generated constitutes medical, legal, financial, safety, or other professional advice
• Your use of Wilson AI is entirely at your own risk. Timpi accepts no liability for loss arising from reliance on Wilson AI
• Quality of Wilson AI responses is directly affected by the state of our index

Content Reporting

If you encounter content within the Services that violates these Terms or applicable law:

• Use the in-Service reporting mechanism (where available)
• For illegal content, use the Report Illegal Content workflow
• Email abuse@timpi.io with subject "Content Report"

Privacy

Our Privacy Policy and Cookie Notice are incorporated into these Terms by reference. By using the Services, you consent to collection, use, and disclosure of information as described in those documents.

User Content

Your Content

If our Services allow you to post content ("User Content"), you retain all rights. You grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, adapt, publish, translate, distribute, and display User Content solely in connection with providing and improving the Services.

Content Standards

You are solely responsible for your User Content. You represent that you own or have the necessary rights, your User Content does not violate third-party rights, and complies with these Terms and applicable laws.

Content Removal

We reserve the right, but not the obligation, to monitor, review, and remove User Content. We are not liable for failure or delay in removing such content.

Advertising

Our Services may display advertisements delivered through Timpi Ads. The presence of advertisements does not constitute an endorsement. We are not responsible for the content, accuracy, legality, or quality of third-party advertisements. Advertisers using Timpi Ads are subject to additional terms applicable to advertiser accounts.

Intellectual Property Rights

Timpi Property

The Services and their original content, features, and functionality remain the exclusive property of Timpi International Ltd and its licensors. Protected by copyright, trademark, and other laws of New Zealand and foreign countries.

Copyright Infringement and DMCA Notices

If you believe content accessible through our Services infringes your copyright, submit a notice under the US Digital Millennium Copyright Act. Our designated DMCA agent, statutory notice requirements, counter-notification procedure, and repeat-infringer policy are published at legal.timpi.io/dmca.

Feedback

If you provide feedback or suggestions ("Feedback"), you assign to us all rights in such Feedback and agree we may use it without compensation to you.

Disclaimers and Limitations of Liability

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

WE MAKE NO WARRANTIES REGARDING ACCURACY, COMPLETENESS, OR CURRENCY OF SEARCH RESULTS, NOR THAT CONTENT FILTERING WILL BE EFFECTIVE. TIMPI SEARCH IS IN PUBLIC BETA WITH KNOWN LIMITATIONS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TIMPI INTERNATIONAL LTD BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.

Indemnification

You agree to defend, indemnify, and hold harmless Timpi International Ltd from claims arising out of your violation of these Terms or use of the Services.

Force Majeure

We shall not be liable for delay or failure to perform resulting from causes outside our reasonable control.

Governing Law and Jurisdiction

These Terms shall be governed by the laws of New Zealand, without regard to conflict of law provisions. Any legal action shall be brought exclusively in the courts of Auckland, New Zealand.

Dispute Resolution

Disputes shall first be addressed through good faith negotiation. If unresolved within 30 days, submitted to mediation or arbitration in Auckland, New Zealand.

Waiver and Severability

No waiver of any term shall be deemed a further waiver. If any provision is invalid, the remaining provisions continue in full force.

Entire Agreement

These Terms, our Privacy Policy, Cookie Notice, any product-specific terms (including Advertiser Terms and Data API Terms), and other referenced policies constitute the entire agreement.

Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we provide at least 30 days' notice. Continued use after revisions constitutes acceptance.
